Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Syndrax platform, including our website, Chrome extension, and API services (collectively, the “Service”), operated by Syndrax LLC (“Syndrax”, “we”, “us”, or “our”). By using the Service you agree to these Terms.

1. Acceptance of Terms

By creating an account or using the Service in any way, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and accept these Terms in full. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

Syndrax provides e-commerce automation tools including pricing automation, inventory synchronization, bulk listing, and marketplace management across platforms such as eBay and Amazon. Features vary by subscription plan.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account.
You must notify us immediately at help@syndrax.io of any unauthorized use.
We reserve the right to suspend accounts that violate these Terms.

4. Subscriptions and Billing

Syndrax offers a free 7-day trial followed by paid subscription plans (Business at $50/month, Enterprise at $200/month).
Subscriptions are billed monthly and renew automatically until cancelled.
You may cancel at any time; cancellation takes effect at the end of the current billing period.
All fees are non-refundable except as required by applicable law or at our sole discretion.
We reserve the right to change pricing with 30 days’ notice.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or marketplace platform policies (including eBay, Amazon, or Walmart seller policies).
Engage in fraudulent, deceptive, or abusive selling practices.
Reverse-engineer, scrape, or attempt to extract the underlying source code of the Service.
Resell or sublicense access to the Service without written permission.
Interfere with or disrupt the integrity or performance of the Service.

6. Intellectual Property

The Service, including all software, designs, and content, is owned by Syndrax LLC and protected by copyright and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features.

7. Third-Party Platforms

The Service integrates with third-party marketplaces and services (eBay, Amazon, Stripe, AWS, etc.). Your use of those platforms is governed by their own terms of service. Syndrax is not responsible for changes to third-party APIs or policies that affect the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNDRAX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may terminate your account at any time by cancelling your subscription and stopping use of the Service. Upon termination, your right to use the Service ceases immediately.

11. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Wyoming.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
